BroodBox Community Agreement

Introduction

Welcome to BroodBox, a dynamic coworking space designed to foster collaboration, innovation, and growth for businesses and professionals. By registering with BroodBox to use our space as a desk or virtual office, including our desk rentals, podcast room, and conference room bookings, you agree to the following terms and conditions outlined in this Community Agreement.

Acceptance Clause

By entering your information, such as email address, phone number, business information, etc., and utilizing our services, you acknowledge and agree that these actions constitute a legally binding agreement between your business and BroodBox.

Compliance with Local Laws

You are responsible for ensuring that your business operations are compliant with all applicable laws, regulations, and requirements of Brigham City. This includes obtaining any necessary licenses, permits, and adhering to local tax laws. Your business must be fully compliant with Brigham City's regulations to be registered under our location.

Use of Shared Space

BroodBox is a shared working environment. Respect and consideration for the space and fellow users are paramount. All resources, such as desks and conference rooms, must be booked, rented, or scheduled in advance. You are expected to leave the spaces you use clean and tidy for the next user.

Hours of Operation

BroodBox facilities are available for use between 8:00 AM and 5:00 PM. Any use of the space outside of these hours requires express written consent from BroodBox management.

Responsibility for Damage

You are responsible for any damage to BroodBox facilities caused by your actions, beyond normal wear and tear. This includes damages arising from negligence, malpractice, or intentional acts. Prompt reporting of any damage is expected.

Liability Release

BroodBox is released from any liability for theft, damage, or loss of property belonging to your business within our premises. This release also extends to any claims or damages related to your business operations within BroodBox.

Termination Policy

This agreement can be terminated by the business at any time. However, notice of cancellation must be provided to BroodBox in writing. The agreement and any obligations, including payment obligations, will terminate at the end of the current subscription period, whether monthly, bi-yearly, or another duration. Businesses are responsible for fulfilling their financial obligations for the current subscription tier until the end of the contract period.

Dispute Resolution

Any disputes arising from this agreement or related to the use of BroodBox facilities shall be resolved through mediation or arbitration, as agreed upon by both parties, before resorting to litigation.

Cyber Clause and Technology Usage

In using the technology and internet services provided by BroodBox, including Wi-Fi access, you are responsible for ensuring that your activities are lawful and conform to the ethical standards upheld by BroodBox. Prohibited activities include, but are not limited to, accessing or distributing explicit adult content, engaging in illegal hacking, piracy, or any form of cybercrime. BroodBox will not be held liable for any illegal or prohibited activities conducted within our premises using our network or technological resources. Members are expected to use the internet and technology services responsibly and with respect for other users and the community at large.

Privacy and Network Monitoring Policy

BroodBox prioritizes the security and integrity of its network and technology infrastructure. As part of our commitment to maintaining a safe and secure working environment, we monitor network traffic and usage patterns to detect and prevent unauthorized or harmful activities. While we respect the privacy of our members, please be advised that your activities on BroodBox's network should not be considered private. This monitoring is essential for the protection of our community and the prevention of activities that could compromise the security of our members and their data.

Membership Plans and Facility Usage

BroodBox offers a variety of membership plans designed to accommodate the needs of our diverse community. It is important to understand that the hours available for booking facilities, including desks and conference rooms, are subject to availability and are offered on a "up to" basis. This means that while we strive to provide members with access to the resources they need, the actual hours available for use may vary based on overall demand and usage patterns. Similar to a gym membership, access to facilities is shared among members, and we cannot guarantee specific availability if demand exceeds capacity. We encourage members to plan accordingly and book resources in advance to best accommodate their needs.

Code of Conduct

All users must adhere to a professional code of conduct within BroodBox. This includes, but is not limited to, maintaining a respectful noise level, cleanliness, and appropriate behavior. No illegal activities, gambling, explicit businesses, viewing of explicit or adult content are permitted. Foul language and posting of inappropriate material are strictly prohibited. BroodBox management reserves the right to deny participation or terminate membership of any business that fails to comply with the terms outlined in this agreement.

Guest Policy

Businesses must reflect any guests beyond themselves in their booking through BroodBox's automated booking system. This requirement is to ensure that our facilities can accommodate all meetings and usage as planned. Failure to book guests may result in the inability to accommodate them due to space limitations.

Amendment and Modification

BroodBox reserves the right to modify or amend this agreement at any time. While not obligated, BroodBox will make a best effort to notify members of any significant changes. However, it is understood that such notification is a courtesy and not a binding requirement. Members are encouraged to review the agreement periodically for any updates or changes.

Digital Signature

By providing your information (email address, phone number, first name, last name, business name, business type) through BroodBox's registration process and indicating your agreement by checking the "Agree to Sign" checkbox, you acknowledge and agree that these actions constitute an electronic signature and affirm your intention to be legally bound by the terms and conditions of the BroodBox Community Agreement. This digital acceptance is recognized as legally binding and equivalent to your handwritten signature as per applicable laws.
